Registers

Registers

Find every resolution in the decision register, track key risks, follow up deferred matters, and manage the legal entities in your group.

Registers give your board a single, lasting record of what it has decided, what it is watching and what it has put off.

Each register on this page is turned on per organisation. If you don't see one, contact Future Boards support. The register of directors' interests is covered in Conflicts & interests, and the obligations register in Obligations & compliance.

Decision register

The Decision Register lists every resolution of your organisation, numbered, with its votes, papers and lineage. Meeting decisions and circulars appear once they close.

Find a resolution

  1. In a space, open Decisions and select Decision register.
  2. Use Search to look for a resolution number or wording.
  3. Narrow the list by space, by type (Meeting decisions or Circulars), by outcome (Passed or Failed), or by date with From and To.
  4. Select a resolution to open it.

What a resolution shows

Each resolution page shows:

  • Votes: who voted and how, including any changes.
  • Papers relied on: the version of each paper the board relied on when it decided.
  • Corrections: any corrections, with the current version marked.
  • Lineage: how this resolution relates to earlier ones.
  1. Open the resolution and, under Lineage, select Add link.
  2. Choose whether this resolution Relies on or Replaces the earlier one.
  3. Enter the Resolution number and an optional Note, then select Save link.

The earlier resolution shows the link too, as Relied on by or Replaced by.

Risk register

Each space can keep a Risk Register of the key risks it owns, how they are rated and when they are next reviewed. The space overview shows a Risk register card that links to it.

Add a risk

  1. Open the space's Risk register.
  2. Select Add risk.
  3. Enter a Title, Description, Category and Owner.
  4. Rate the Likelihood and Impact.
  5. Set a Review cadence and the Next review date, then select Add risk.

Review a risk

  1. Open the risk and select Record review.
  2. Update the Likelihood and Impact if they have changed, add a Review note and set the Next review date.
  3. Select Record review.

The risk's History keeps every rating and review, newest first. A risk past its review date shows Review overdue, and when a review is due before a meeting, the meeting suggests adding it to the agenda. Select Close risk when a risk no longer applies, or Reopen to bring it back.

You can link risks to agenda items, decisions and circulars, so each risk's Papers and decisions card shows what the board has read and decided about it.

Deferred matters

When the board puts off an agenda item, the deferred matters register makes sure it comes back.

Defer an agenda item

  1. During or after the meeting, open the agenda item.
  2. Select Defer.
  3. Add a Reason (optional) and select Defer item.

The item is added to the space's deferred matters register.

Follow up a deferred matter

In a space, open Decisions and select Deferred matters. For each matter you can:

  • Select Re-table, choose the Agenda item on an upcoming agenda, and confirm to bring it back.
  • Select Resolve and then Mark resolved once it has been dealt with.
  • Select Withdraw if the board no longer needs to consider it.

If your organisation is a group of companies, you can record each company as a legal entity, with its own identifiers, financial year and boards.

  1. Go to Settings and open the Entities tab.
  2. Select Add entity.
  3. Enter the Name, and optionally the ACN and ABN.
  4. Set when the Financial year ends, then save.

The first entity you add becomes the primary entity and holds all your boards until you move them. To move a space, go to the space's Manage Space page and choose the Entity on the Legal entity card, then select Save entity.
